1. Acceptance of Terms

Welcome to Scout Agency ("Scout Agency," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the ScoutLink mobile application, website, and related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Platform.

2. About Scout Agency

Scout Agency is a digital sports scouting and talent discovery platform that enables athletes to showcase their talent by creating profiles, uploading videos and sporting information, and connecting with scouts, clubs, academies, coaches, agents, and other authorised users. Scout Agency is a networking platform only and is not a sports club, academy, employer, or recruitment agency.

3. Eligibility

You must be legally capable of entering into a binding agreement to use the Platform. Users under the age of 18 may use Scout Agency only with the consent and supervision of a parent or legal guardian. Where applicable, a parent, guardian, school, academy, or authorised representative may manage a minor's account.

4. User Accounts

You agree to:

• Provide accurate, complete, and current information during registration.

• Keep your login credentials secure.

• Notify us immediately of any unauthorised use of your account.

• Be responsible for all activities carried out through your account.

We reserve the right to suspend or terminate accounts that contain false information or violate these Terms.

5. User Content

You retain ownership of the photographs, videos, statistics, biographies, and other content you upload. By submitting content to Scout Agency, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, distribute, and use such content solely for operating, improving, promoting, and providing the Platform.

You warrant that:

• You own or have permission to upload the content.

• The content does not infringe any intellectual property or privacy rights.

• The content is lawful and accurate.

We may remove any content that violates these Terms or applicable law.

6. Acceptable Use

You agree not to:

• Upload false or misleading information.

• Impersonate another person or organisation.

• Upload unlawful, offensive, abusive, discriminatory, or sexually explicit content.

• Harass, threaten, or exploit other users.

• Upload content that infringes another person's rights.

• Attempt to gain unauthorised access to the Platform.

• Interfere with the operation or security of the Platform.

Any breach may result in suspension or permanent termination of your account.

7. Sports Opportunities

Scout Agency provides a platform for connecting athletes with sports professionals.

We do not guarantee:

• Selection by scouts;

• Invitations to trials;

• Scholarships;

• Professional contracts;

• Employment opportunities; or

• The accuracy or suitability of information provided by other users.

Users are responsible for independently verifying opportunities and exercising caution when interacting with other users.

8. Payments

Some services may require payment or subscription. Where paid services are offered:

• Applicable fees will be disclosed before purchase.

• Payments may be processed through authorised third-party providers.

• Unless otherwise stated, fees are non-refundable except where required by applicable law.

9. Intellectual Property

The Scout Agency name, logo, software, design, trademarks, and all Platform content (excluding user-generated content) are owned by or licensed to Scout Agency and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or commercially exploit any part of the Platform without our prior written consent.

10. Privacy

Your use of Scout Agency is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect your personal information. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.

11. Suspension and Termination

We may suspend, restrict, or terminate your account at any time if you:

• Breach these Terms;

• Engage in fraudulent or unlawful activity;

• Misuse the Platform; or

• Create risks to other users or Scout Agency.

You may stop using the Platform or delete your account at any time in accordance with our Privacy Policy.

12. Disclaimer

Scout Agency is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we make no warranties regarding:

• Continuous availability of the Platform;

• Accuracy of user-generated content;

• Success in obtaining sports opportunities; or

• Compatibility with all devices.

13. Limitation of Liability

To the maximum extent permitted by law, Scout Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including loss of opportunities, income, reputation, or data. Our total liability shall not exceed the amount paid by you, if any, for the relevant service during the twelve (12) months preceding the claim.

14. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

If a dispute, claim or controversy arises out of or in connection with these Terms or the use of the Platform, the parties shall first make reasonable efforts to resolve the matter through good-faith negotiations.

If the dispute is not resolved within thirty (30) days, either party may refer the matter to mediation. Where mediation is unsuccessful, the dispute shall be finally resolved by arbitration in accordance with the Arbitration and Mediation Act, 2023 of Nigeria.

The arbitral tribunal shall consist of a single arbitrator mutually agreed upon by the parties. Where the parties are unable to agree on the appointment of the arbitrator within fourteen (14) days of the request for arbitration, the arbitrator shall be appointed in accordance with the Arbitration and Mediation Act, 2023.

The arbitration may be conducted remotely by video conference or other electronic means, unless the parties agree otherwise. The legal seat of the arbitration shall be Nigeria, and the language of the proceedings shall be English.

Nothing in this clause prevents either party from seeking interim or injunctive relief before a court of competent jurisdiction where such relief is necessary to protect its legal rights pending the conclusion of mediation or arbitration.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements.

Where material changes are made, we will notify users through the Platform or by other appropriate means. Continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the updated Terms.

By creating an account or using Scout Agency, you confirm that you have read, understood, and agree to be bound by these Terms of Service.
